Welcome to the official website of Amber Medical (Foshan Kailun Technology Co., Ltd.). By accessing or using our website (https://ambermedical.tech), requesting quotations, or placing orders for our dental equipment and consumables, you agree to be bound by the following Terms & Conditions.
1. General & B2B Scope
1.1 Amber Medical is a professional manufacturer and one-stop exporter of dental equipment and clinical instruments based in Foshan, Guangdong, China.
1.2 These Terms govern all online interactions, inquiries, product catalogs, commercial quotations, and purchase contracts between Amber Medical and our global buyers (clinics, hospitals, distributors, and procurement agents).
2. Quotations, Pricing & Order Acceptance
2.1 All commercial quotations provided via email, WhatsApp, or formal Proforma Invoices (PI) are valid for 30 calendar days from the date of issuance, unless otherwise explicitly stated in writing.
2.2 Due to currency fluctuations and raw material costs (e.g., titanium, stainless steel, optical components), prices are subject to revision prior to final contract signing.
2.3 An order is considered legally binding only upon our written confirmation (countersigned PI) and receipt of the agreed deposit or advance payment.
2.4 Amber Medical reserves the right to correct any typographical or clerical errors in product specifications, pricing, or catalog descriptions without liability.
3. Payment Terms & Currency
3.1 Unless otherwise negotiated, all transactions are denominated in US Dollars (USD) or Euros (EUR).
3.2 Accepted payment methods include Telegraphic Transfer (T/T bank wire), Letter of Credit (L/C for high-volume orders), and verified digital international payment gateways.
3.3 For standard B2B production orders, terms are typically 30% advance deposit upon PI confirmation, with the remaining 70% balance payable prior to shipment/container loading.
4. OEM / ODM & Custom Manufacturing
4.1 Amber Medical provides private labeling (laser logo engraving), custom color options, tailored packaging, and bespoke user manuals for qualifying distributors.
4.2 The buyer warrants that any brand name, logo, design, or trademark provided to Amber Medical for OEM manufacturing does not infringe upon any third-party intellectual property rights. The buyer assumes full legal responsibility and indemnifies Amber Medical against any trademark or patent disputes.
4.3 Custom OEM orders cannot be cancelled, amended, or returned once raw materials are sourced and production has commenced.
5. Delivery, Title & Risk of Loss
5.1 Delivery terms comply with Incoterms 2020 (e.g., FOB, CIF, CFR, EXW, DDP) as designated in the individual purchase agreement.
5.2 Title to goods transfers to the buyer upon receipt of full and final payment. Risk of loss passes to the buyer or designated freight forwarder in accordance with the specified Incoterm.
5.3 Lead times are estimates and may be subject to force majeure events (including customs inspections, shipping container shortages, typhoons, or regulatory delays).
6. Limited Warranty & Liability
6.1 Products are warranted to be free from manufacturing defects under normal clinical use:
• Dental Handpieces: 12-month standard warranty (bearings and wearable chuck components covered under 6-month limited warranty).
• Electric Micro Motors, Endo Motors & Apex Locators: 12-month full warranty.
• Dental Units & Furniture: 12-month structural warranty.
6.2 Warranty excludes damages caused by improper autoclaving temperatures, non-lubricated operation, unauthorized disassembly, physical impact, or use with non-compliant parts.
6.3 In no event shall Amber Medical be liable for any indirect, incidental, or consequential damages resulting from clinical downtime or delayed deliveries.
7. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, product images, diagrams, video presentations, and UI design, is the exclusive property of Foshan Kailun Technology Co., Ltd. (Amber Medical) and is protected by international copyright and trademark laws. Unauthorized reproduction or commercial use is strictly prohibited.
8. Governing Law & Dispute Resolution
8.1 These Terms & Conditions and all related purchase contracts shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict of law principles.
8.2 Any dispute arising out of or in connection with these Terms or transactions shall be settled amicably through mutual negotiation. If no settlement is reached within 30 days, the dispute shall be submitted to the competent court located in Foshan, Guangdong, China.
